We are working with a reputable and well established law firm in Boston looking to hire a commercial real estate paralegal.  Ideal candidate for the role has large firm experience, understands closings and is a true paralegal.  You will work with substantial deals on both buyer/lending side and meet very specific demands.  Excellent opportunity to join a big firm with team atmosphere.


Responsibilities include:
  • Check Assessor records for City/Town and obtain Property Card-confirm number of parcels through legal description/survey
  • Conduct full title search or title update from current policy
  • Order zoning reports through title company for zoning endorsement or order PZR (Planning and Zoning Resources) report in connection with purchases and/or conduct building jacket review of city/town records; possible site visit to property
  • UCC, Federal & State Tax Lien, Judgement Lien, Litigation, Bankruptcy searches
  • Formation of Buyer/Borrower entity/entities and prepare authority documents for entities in regards to closing
  • Draft ancillary documents (Affidavit of No Change re. Surveys; Commercial Mechanic’ s Lien and Parties in Possession Indemnity Affidavit); conveyance documents (Deed, Bill of Sale, Seller/Buyer Bring-Down Certificate; Assignment and Assumption of Leases; Post-Closing Agreement etc.)
  • Draft Tenant Estoppels/SNDAs, if required
  • Organize and assemble loan documents/Buy/Sell documents, adding exhibits and tagging for signature
  • Prepare Escrow Closing Letter for delivery of documents to Lender’ s counsel and/or Buyer/Seller counsel/Title Company
  • Prepare recording letter to title examiner and/or title company enclosing documents for filing/recording
  • Attend to disbursements/wires and post-closing matters
  • Review title report; organize and assemble documents for further review and analysis by Attorney; obtain any additional title documents/plans that may be cited within documents
  • Review title commitments from First American for accuracy to title reports; review of proforma policies and understanding knowledge of endorsements
  • Obtain title updates in connection with disbursement endorsement in connection with construction loans; order and/or prepare Datedown Endorsement
  • Review survey for accuracy of legal description, title exceptions, certifications, etc. Against deed and proposed title commitment/specimen policy
  • Conduct back title search through First American Title Insurance online database
  • Create title file through AgentNet (FATIC database) for issuance of eJackets and submission of final owner/loan policies on-line
  • Conduct entity searches via various Secretary of State databases to confirm current status and principals/signatories of entities
  • Draft formation documents and attend to filing of same
  • Prepare Stock Certificates and other initial corporate documents (Stock Subscription Letters; Initial Action by Consent, etc.)
  • Prepare Minute Books
  • File Annual Reports for clients on an as-needed basis or to reinstate good standing status for closings
  • Contact Building Department/Inspectional Services of City/Town to request a file be pulled for you relating to property
  • Travel to City/Town to review all files and make copies of pertinent Permits, Certificates of Occupancy, Violations, Plans, Zoning Decisions, Variances
  • Obtain certified copy of Zoning Ordinance or By-Laws and Zoning Map from Town Clerk and confirm uses
  • Prepare Usury filing as directed by attorney and file with Office of the MA Attorney General
  • Assist Litigation Department with title claim/quiet title issues by means of conducting title searches via on-line registry websites and preparing memorandum re. Title search for same and assisting with resolution to title issue
  • E-Recording miscellaneous documents like Discharges and/or terminations
  • Prepare and file UCC-1 and UCC-3 Financing Statements
  • 5+ years paralegal experience working at a large firm
  • Ability to work as part of a team as well as independently
  • Proficient in MS Office
  • Strong understand of closings
